Governing Law & Venue

These Terms, all licences, and all transactions conducted through or in connection with Maximillian Hughes Enterprises™ (“MHE”) are contracts made in the international commercial arena and shall be interpreted under the general law of binding contracts, the U.N. Convention on Contracts for the International Sale of Goods (where applicable), and the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards (1958). Nothing herein shall be construed as a waiver of any rights secured by federal trademark law applicable to the registered marks MAXIMILLIAN RICHARD HUGHES™⁽ᴾᴱᴺᴰᴵᴺᴳ⁾ and MAXIMILLIAN HUGHES™⁽ᴾᴱᴺᴰᴵᴺᴳ⁾.

Exclusive Arbitration

Every controversy or claim arising out of or relating to these Terms, any licence, or the use of MHE intellectual-property shall be submitted to final and binding private arbitration administered by the International Centre for Dispute Resolution (ICDR) in accordance with its International Arbitration Rules then in force.

  • Seat / Place of Arbitration: Sheridan, Wyoming, USA.

  • Language: English.

  • Number of Arbitrators: One (or three for claims exceeding USD 1 million), appointed under ICDR rules.

  • Interim Relief: The tribunal may grant any interim or conservatory measure it deems appropriate; courts of competent jurisdiction may enforce such orders.

  • Confidentiality: All proceedings, submissions, awards, and related materials shall remain strictly confidential except as required for enforcement.

  • Entry of Judgment: Any award may be entered in any court having jurisdiction under the New York Convention or applicable state law.

No Class Actions

Proceedings shall be conducted solely on an individual basis; class, collective, or representative actions are expressly waived.

Preservation of Equitable Remedies

Nothing in this clause prevents MHE from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its federally registered trademarks, copyrights, trade secrets, or other proprietary rights pending the outcome of arbitration.

Modifications

We may modify these Terms at any time by posting an updated version on the Site. Continued use after such posting constitutes acceptance.
